Welcome! Teachy is an edtech company focused on schools and teachers through a learning management system (LMS) platform.

These Terms and Conditions of Use (“Terms”) are intended to define the conditions for using the Platform developed and owned by Teachy, available at https://www.teachy.ai. The Platform enables its users—whether students or teachers from partner educational institutions (“you” or “User”)—to create, manage, and develop school assessments and materials using artificial intelligence tailored to the education market.

The Teachy website and all of its content (collectively, the “Platform”) are the property of TEACHY EDUCATION US INC, a privately held legal entity duly incorporated in the United States on November 1, 2023, with Employer Identification Number (EIN) 93-4216561 and registered business address at 408 Grant Ave, Palo Alto, CA 94306, USA (“Teachy” or “we”). All rights reserved.

BY USING THE PLATFORM, YOU AUTOMATICALLY AGREE TO ALL THE RULES SET FORTH IN THESE TERMS AND CONDITIONS OF USE AND OTHER REFERENCED POLICIES, AND YOU TAKE FULL RESPONSIBILITY FOR ANY AND ALL ACTIONS YOU TAKE ON THE PLATFORM, AS WELL AS FOR ANY RESULTING CONSEQUENCES. 1. DEFINITIONS USED IN THESE TERMS

1.1. For the purposes of these Terms of Use, the following definitions shall apply:

Login: the process of accessing the Platform through user authentication or identification, using previously registered credentials, which are personal and non-transferable.

Purchase Order: the document signed between Teachy and the User that outlines the contracted services, term of validity, applicable fees, payment terms, and other commercial conditions relevant to the services contracted by the User.

Platform or Teachy: digital environment (web and mobile) provided by Teachy where the User can access the available services and functionalities.

Educational Institution: A public or private legal entity, duly established, that contracts the Teachy Platform with the aim of promoting the educational use of the tool by its Teachers, Students, and Administrators, in the context of its pedagogical and curricular activities.

User(s): An individual who uses the Platform and Teachy services, in any of its functionalities or modes, including Teachers, Students, and Administrators of educational institutions.

  • Teacher: A User registered on Teachy with permission to create, edit, organize, and share educational content, such as exercises, lists, and lesson plans, intended for Students.
  • Student: An individual registered by the Teacher or the Educational Institution with access to Teachy, who may view, complete, or interact with exercises and materials provided by the Teacher, aiming at school learning.
  • Educational Institution Administrator: A User linked to an Educational Institution that is a partner of Teachy, with a managerial profile on the Platform, responsible for managing access and the activities of Teachers and Students, with the ability to monitor performance, configure permissions, and manage institutional use of the Platform.

2. TEACHING MANAGEMENT WITH TEACHY

Functionalities. Depending on the type of User profile, the Platform allows you to:
(i) develop school assessments, creating questions aligned with the academic planning of the contracting Educational Institution;
(ii) prepare lessons, assignments, and test grading;
(iii) evaluate academic performance and conduct accurate educational follow-up;
(iv) receive digital learning content and specific activities (“Services”).

Depending on the User profile, the Platform offers the following activities:

Teachers:

  • Individual access to the Teachy platform, with AI-powered pedagogical support tools;
  • Automated creation of:
    • Daily and weekly lesson plans;
    • Annual, sequential, and competency-based planning;
    • Activities, tests, corrections, and personalized feedback;
    • Exercise lists based on custom questions or Teachy’s question bank;
  • Sharing of materials and questions created by the Teacher with other Users through the question bank, if the Teacher allows;
  • Annotated answer keys for available questions;
  • Access to the question bank within the Platform;
  • Creation and management of student groups;
  • Access to data showing which Students got each question right or wrong;
  • Student attendance tracking and control;
  • Automatic correction of exercises and assignments;
  • Availability of class notes;
  • Tools aligned with Brazil’s National Common Curricular Base (BNCC), with customization options by subject and grade level;
  • Direct communication channel with the Teachy team for questions, suggestions, and feedback.

Students:

  • Access to content, activities, and corrections provided by teachers through the platform;
  • Guided study tools that organize content, exercises, and review sessions based on individual performance;
  • Specific resources for preparing for college entrance exams, public service exams, academic olympiads, and other competitions focused on performance and self-development;
  • Safe and education-appropriate AI with protection mechanisms, avoiding exposure to risks and providing a controlled environment;
  • All study and interaction on the platform is fully monitored by teachers and school coordinators.

Educational Institution Administrators:

  • Full user management dashboard, allowing the creation, editing, and deletion of Teacher and Student accounts as needed;
  • Usage and engagement reports, with detailed views by User and school unit;
  • Real-time monitoring of the platform's pedagogical usage by teachers;
  • Exclusive communication channel with the Teachy team, including technical support and suggestions for improvement.

Students will only have access to the materials and classes selected by the Teacher for their group. This means each Student will only access materials shared by their respective Teacher, who already has an established relationship with the Educational Institution or tutoring program.

Teachy is not an educational institution, school, tutoring service, or academic establishment.

To access the Platform, in addition to accepting these Terms of Use, the User must also understand the terms outlined in Teachy’s Privacy Notice.
IT IS THE USER'S RESPONSIBILITY TO BE AWARE OF AND COMPLY WITH THE RULES CONTAINED IN THESE TERMS OF USE AND THE PLATFORM'S PRIVACY NOTICE.

The Platform operates via internet connection.

Access to Platform functionalities is determined by Teachy and will be granted to Users according to their roles and responsibilities. This means each User will have access only to the features and resources relevant to their relationship with Teachy.


3. HOW TO REGISTER ON TEACHY?

To create an account, we require some information about you. The types of data we collect depend on how you interact with us.

To access and use the Platform, you can register using a Google or Facebook social login by clicking “Log In” on the website https://www.teachy.ai. The Platform allows the creation of the following types of profiles:

Administrator of the contracting Educational Institution: To register the administrator of the Educational Institution that has contracted Teachy, we will need the institution’s representative to provide certain information, such as the institution’s legal name, registration number (CNPJ), address, and personal information of the institution's representative, including full name, CPF, phone number, email address, and job title.

Teachers: If you are a teacher, the Educational Institution you are affiliated with will share your registration details with us, including your name, email, phone number, photo, country, affiliated Educational Institution, subject(s) taught, and grade(s). Based on this information, we will create a unique login and a temporary password for you to access the Platform. We recommend that you set a new individual password upon your first login.

Students: If you are a student, the Educational Institution you are affiliated with will share your registration details with us, including your name, email, photo, country, and age confirmation. Based on this information, we will create a unique login and a temporary password for you to access the Platform. We recommend that you set a new individual password upon your first login.

The registration data provided will serve as the basis for generating an identification account, from which the User will have access to the Platform and its functionalities.

The User must set a login and password to access the Platform.

Once registered, the User will have a personal and non-transferable account, accessible via the created login and password. If Teachy detects that an account was created with false information, the registration will be automatically canceled, and access to the Platform will be blocked. In this case, the User will not be entitled to any compensation.

If the User forgets their password and needs to recover it, they may request a new one through the Platform by clicking the “Forgot my password” button, which will send a password reset link to the registered email address. If the request is made through the Platform, the User must provide their registered email so that the reset email can be sent.

The information provided during registration will allow Teachy to contact the User. Teachy shall not be held responsible for any issues resulting from the User’s failure to update their contact information and thus being unable to receive notifications.

Considering that the Teachy Platform is intended for school-aged individuals, it allows the registration of minors. In the case of Students aged 12 (twelve) or older, if the account is created by a Teacher and/or the contracting Educational Institution, they declare and guarantee that they have obtained the express and specific authorization from at least one legal guardian for the creation of the account and use of the Platform. The Teacher and/or Educational Institution are fully responsible for obtaining such authorization and hold Teachy harmless from any liability arising from the absence, invalidity, or inadequacy of this authorization.

Teachy is intended for and accepts the registration of individuals who are part of the educational system as Teachers, Students, or Administrators of an Educational Institution.

By using the Services, the User agrees to comply with applicable laws and these Terms and Conditions of Use.

To join and use Teachy, the User must agree to provide true, accurate, current, and complete information as requested in the registration form.

It is strictly prohibited to intentionally impersonate another person.

Teachy reserves the right to refuse registration or cancel accounts it deems inappropriate, as well as to refuse to provide services that do not align with its standards.

The registration data provided will serve as the basis for generating an identification account, from which the User will have access to the Platform and the Services available to them.


4. TEACHY PLANS

The amount to be paid by the User will be defined according to the User type and the selected plan. The Enterprise School Plan requires the execution of a Purchase Order signed between the Educational Institution and Teachy. The Premium School Plan, on the other hand, can be contracted directly through a subscription on the Teachy website, without the need for a formal Purchase Order, in accordance with the terms and conditions stated there.

Descriptions of the services, pricing, features, commercial and operational terms of each plan are detailed on the Teachy website and, when applicable, in the respective Purchase Order. Upon contracting, the User must choose one of the available plan types and acknowledge the associated pricing, duration, included functionalities, and other specific applicable conditions. Currently, Teachy offers the following plans:

Premium School Plan: A plan designed for academic and administrative school management, which includes:
(i) full access to the Platform for teachers affiliated with the Educational Institution;
(ii) strategic dashboards for tracking performance and engagement;
(iii) access management tools;
(iv) centralized class organization; and
(v) integrated collaboration features. This plan can be subscribed to directly via the Teachy website.

Enterprise School Plan: A plan aimed at Educational Institutions seeking to expand technological offerings to students, which includes all the features of the Premium School Plan plus the following:
(i) secure access to the AI tool for Students;
(ii) exclusive technical support;
(iii) interactive communication features between Teachers and Students; and
(iv) advanced integrations with external systems and other platforms used by the Educational Institution. This plan requires a signed Purchase Order.

Even if some Platform plans are described as “unlimited,” usage of Teachy's resources is subject to fair use guidelines and must comply with the limits established on the Teachy website at the time of purchase or specified in the applicable Purchase Order. Teachy reserves the right to temporarily suspend, limit, or adjust access if any abusive or incompatible use is identified, especially if it affects the stability, security, or performance of the Platform.

Teachy may, at its sole discretion and with prior notice, change, add, or discontinue features and tools included in contracted plans, provided that such changes do not result in a substantial reduction of originally contracted services—except in cases of just cause or force majeure. These changes aim to ensure continuous service improvement, legal or regulatory compliance, and technological advancement of the Platform.

Plan prices may be adjusted periodically, with a minimum of 30 (thirty) days’ notice, and will respect the amounts and terms previously agreed upon in the current Purchase Order at the time of contracting.

The prices specified in a Purchase Order may be adjusted annually based on the positive variation of the Brazilian Consumer Price Index (IPCA/IBGE) over the preceding 12 (twelve) months, starting from the date of the agreement.

The User may request cancellation of the contracted plan at any time, provided that the request is made at least 30 (thirty) days before the end of the term specified in the Purchase Order or online subscription. Cancellation requests may be submitted directly through the Platform or via Teachy's support channel. Regardless of when the request is made, cancellation will only take effect at the end of the contracted term, and full payment for the period will still be required. If an automatic renewal has occurred (whether through the Purchase Order or the online subscription), cancellation will only be effective at the end of the renewal term.

Teachy reserves the right to offer special conditions, trial periods, or temporary discounts, which may be changed or discontinued at any time without prior notice. After the end of such special conditions, the standard pricing in effect at the time of renewal will apply according to the contracted plan.

Teachy may also terminate the Purchase Order or cancel the subscription in case of default, violation of these Terms, or misuse of the Platform, by notifying the User—without prejudice to the collection of any outstanding amounts owed up to the date of termination.


5. OBLIGATIONS AND RESPONSIBILITIES OF TEACHY

Teachy's obligations are limited to ensuring the functionality and security of the Platform, as well as maintaining access to the services for as long as possible, except in cases of events beyond our control.

Teachy is not responsible for the conduct of any User, whether inside or outside the Platform, as it is merely a tool to integrate and manage school activities.

Teachy will not, under any circumstances, be responsible for school performance or results arising from the activities of Users. The User acknowledges and agrees that Teachy does not guarantee any financial gain, savings, or commercial outcome in relation to the use of the Platform’s features, and disclaims any liability for any type of damage or loss caused in this regard to the User or third parties.

Teachy is also not responsible for:

  • Comments posted by Users on the Platform;
  • Third-party (hyper)links or banners displayed on the Platform;
  • Personal data improperly entered or shared on the Platform;
  • Service interruptions, bugs, viruses, errors, omissions, losses, or damages;
  • Any product or service offered on portals, websites, or applications unrelated to Teachy's activities;
  • Any materials shared on the Platform by Users that infringe on third-party rights, including intellectual property rights.

Third-Party Services. Teachy may use third-party services to support the operation of the Platform (e.g., hosting services), and as such, service failures may occasionally occur. Teachy shall not be held liable for any losses, damages (direct or indirect), or lost profits resulting from third-party service failures. However, Teachy will, to the extent possible, keep the User informed about timelines and actions taken to resolve such issues.

Third-Party Websites. The Platform may contain links that direct you to websites and other applications owned and operated by third parties not affiliated with Teachy. Teachy does not endorse, verify, guarantee, or have any connection with the owners of such websites or applications and is not responsible for their content—including any products and/or services made available, the accuracy, truthfulness, or completeness of their information, policies, practices, or opinions expressed on those third-party websites or applications that you may access via the Platform.

Disclaimer. Teachy, its affiliates, partners, employees, and collaborators shall not, under any circumstances, be held liable for direct or indirect damages resulting from or related to the User’s access to or use of the Platform, or inability to access or use it.

PLATFORM DOWNTIME. GIVEN THE INHERENT CHARACTERISTICS OF THE INTERNET, TEACHY IS NOT RESPONSIBLE FOR ACCESS OR NAVIGATION FAILURES ON THE PLATFORM CAUSED BY CIRCUMSTANCES BEYOND ITS CONTROL, SUCH AS CONNECTION INTERRUPTIONS OR SUSPENSIONS, INCOMPLETE OR FAILED COMPUTER TRANSMISSIONS, AND TECHNICAL FAILURES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, MALFUNCTIONS IN ANY USER OR THIRD-PARTY NETWORK, HARDWARE, OR SOFTWARE, GENERAL INTERNET FAILURES, POWER OUTAGES, AND ELECTRONIC AND/OR PHYSICAL MALFUNCTIONS OF ANY TELECOMMUNICATION NETWORK. TEACHY DISCLAIMS ANY LIABILITY ARISING FROM SUCH FACTS AND/OR EVENTS.


6. USER OBLIGATIONS AND RESPONSIBILITIES

The User agrees not to share their login and password with third parties, nor allow the use of such credentials by others, as all activities carried out using their login and password will be their sole responsibility.

Access to and use of the features provided by Teachy are the sole responsibility of the User.

The User is exclusively responsible for all data and information entered into their account. Therefore, Teachy is under no obligation to verify or certify the accuracy of the data provided.

The User agrees to use Teachy in an honest and ethical manner and must refrain from any abusive, illegal, or offensive conduct.

Teachers, due to their access to the Platform, may have access to Student registration data, including profile photos, names, and grades for identification and academic evaluation purposes. Teachy is not responsible for the use of this data for any other purposes and/or in violation of the General Data Protection Law (LGPD). In the event of a complaint of a violation of these Terms by the Teacher, and upon investigation, the Teacher may be penalized with account suspension or cancellation, without prejudice to other applicable civil, criminal, or administrative liabilities.

You are solely responsible for your use of the Platform and must comply with these Terms of Use as well as with applicable laws.
TEACHY SHALL NOT BE HELD LIABLE FOR ANY DIRECT OR INDIRECT DAMAGE RESULTING FROM YOUR VIOLATION OF THIS CLAUSE, OR FROM MISUSE OR INABILITY TO USE THE PLATFORM, INCLUDING DAMAGES ARISING FROM THIRD-PARTY ACCESS TO YOUR ACCOUNT USING YOUR LOGIN AND PASSWORD.

The User is fully responsible for:

  • Maintaining a secure environment on their device (computer, mobile phone, tablet, etc.) by using available tools such as antivirus software, firewalls, etc., to help prevent electronic risks;
  • Ensuring that their operating system is up-to-date and functioning properly for full use of the Platform; and
  • Protecting and keeping their login and password confidential, acknowledging that their account is personal and non-transferable and must not be shared with third parties under any circumstances.

THE USER IS RESPONSIBLE FOR ANY AND ALL VIOLATIONS OF THESE TERMS OF USE AND APPLICABLE LAW, WHETHER BY ACTION OR OMISSION. IN CASE OF A BREACH OF THESE TERMS, A VIOLATION OF ANY APPLICABLE LAW, OR AN INFRINGEMENT OF THE RIGHTS OF TEACHY AND/OR THIRD PARTIES, THE USER SHALL BE LIABLE TO TEACHY AND TO THIRD PARTIES FOR ALL DAMAGES, LOSSES, AND INJURIES—DIRECT AND/OR INDIRECT—THAT RESULT FROM THEIR ACTIONS, AND MAY BE SUBJECT TO CIVIL AND CRIMINAL PENALTIES AS PROVIDED BY LAW. THE USER AGREES TO INDEMNIFY TEACHY FOR ANY DAMAGES CAUSED, INCLUDING IN CASES OF CLAIMS MADE BY OTHER USERS AND/OR THIRD PARTIES.


7. PROHIBITED CONDUCT

The User agrees to use the Platform in an ethical, responsible manner and in compliance with applicable law, refraining from any actions that may violate these Terms of Use, the law, or the rights of Teachy and third parties. Among others, the following conduct is strictly prohibited:

  • Engaging in any illegal, immoral, or otherwise unlawful act under Brazilian or international law;

  • Violating the rights of third parties or Teachy, including but not limited to rights of personality, intellectual property, privacy, and honor;

  • Uploading, sharing, or enabling access to illegal, violent, pornographic, discriminatory, offensive content, or any material incompatible with the educational values of the Platform, or any act contrary to law and public order;

  • Attempting any type of fraud, manipulation, or social engineering aimed at gaining undue advantage at the expense of Teachy, other Users, or third parties;

  • Promoting or engaging in any discriminatory acts or inciting hatred against individuals or groups based on nationality, race, religion, sexual orientation, gender, physical condition, or other acts that violate public order and applicable Brazilian law;

  • Using automated scripts, bots, spiders, or any unauthorized means to collect information or interact with the Platform or any Teachy-owned electronic environment (such as websites);

  • Using Teachy for competing, fraudulent, or any other purposes not aligned with those described in these Terms and Conditions of Use;

  • Using, uploading, sharing, or distributing any materials or content on the Platform that the User does not own or does not have express written permission to use, including copyrighted material or intellectual property belonging to others;

  • Accessing, reproducing, distributing, sharing, modifying, adapting, translating, reverse engineering, decompiling, or commercially exploiting, in whole or in part, the Platform, its content, features, data, or information, without express authorization from Teachy;

  • Spreading viruses, malware, or any other malicious code, file, or software intended to compromise the security, integrity, performance, or availability of the Platform, or to harm Teachy, its Users, or third parties;

  • Improperly accessing restricted data, features, or areas of the Platform, or performing actions that compromise its security, stability, or performance;

  • Reselling, commercializing, or otherwise providing third parties with the services, products, or benefits offered on the Platform, whether for profit or free of charge, without express authorization from Teachy;

  • Violating other Users’ privacy, including but not limited to the collection, disclosure, or misuse of personal data;

  • Engaging in any other behavior that violates these Terms of Use, applicable law, or compromises the educational purpose and integrity of the Platform.

The User agrees to always use the Platform honestly, ethically, and in accordance with the law, these Terms and Conditions of Use, and the Privacy Notice.

Teachy may, at its sole discretion, delete and/or suspend a User’s access if there is any suspicion of violation of applicable law or these Terms and Conditions of Use.


8. SUSPENSION, CANCELLATION, AND TERMINATION OF ACCESS TO THE PLATFORM

Suspension. Teachy may suspend your access to the Platform:
(i) in the event provided for in clause 3.8 of these Terms of Use; or
(ii) if it identifies that your affiliation with the Educational Institution is irregular or has been terminated, regardless of the reason. Teachy shall not be liable for, nor required to compensate the User for, any suspension of access to the Platform.

Cancellation. Teachy reserves the right to cancel any User’s account at any time if it identifies bad faith and/or misuse of the Platform, fraud, unlawful advantage or benefit, or non-compliance with any of the conditions set forth in these Terms of Use or in applicable law. In such cases, no compensation shall be owed to the User or any third party for any resulting damages.

If the User wishes to close their account on the Platform at any time, they must request termination through the administrator of their Educational Institution, who will be responsible for taking the necessary actions.

In the event of termination of your affiliation with the contracting Educational Institution, you have the right to request cancellation of your registration on the Platform at any time by sending an email to [email protected].

Teachy may also discontinue the provision of Services if any of the following situations occur:

  1. Declaration of bankruptcy, judicial reorganization, initiation of creditor arrangements, or dissolution/liquidation of the other party;
  2. Force majeure or unforeseen events, duly proven, that prevent the execution of Services;
  3. Non-payment of agreed fees for a period exceeding 60 (sixty) days;
  4. Breach of any obligations provided for in these Terms of Use.

9. INTELLECTUAL PROPERTY

Ownership and rights related to the Platform belong exclusively to TEACHY EDUCATION US INC, a private legal entity incorporated in the United States on November 1, 2023, EIN 93-4216561, with registered address at 408 Grant Ave, Palo Alto, CA 94306, USA.

The User does not acquire, by accessing or regularly using the Platform, or by accepting these Terms or any other document prepared and/or published by Teachy, any intellectual property rights or other exclusive rights, including patents, designs, trademarks, copyrights, or rights over confidential information or trade secrets related to the Platform. All such rights remain the exclusive property of Teachy.

In addition to the tools and functionalities provided by the Platform, all original questions and tests in Teachy’s question bank are the exclusive property of the company.

Therefore, any use of content protected by Teachy’s intellectual property, including reproduction, copying, or other forms of usage, is prohibited without prior and express authorization from Teachy.

Usage License. Subject to these Terms of Use, Teachy grants the User a personal, limited, temporary, non-exclusive, and non-transferable license to use the Platform solely for the purpose of accessing its features as set forth herein. If the User’s access to the Platform is suspended or terminated for any reason, this license will also be suspended or revoked.

No Exclusivity. Use of the Platform does not establish any form of exclusivity between Teachy and the Users. Nothing in these Terms or in the use of the Platform shall be interpreted as creating an exclusive relationship between Teachy and its Users.

Teachy Content. All intellectual property rights related to the Platform, including its features, are the exclusive property of and/or licensed to Teachy, including but not limited to its texts, images, trademarks, layouts, software, code, databases, graphics, articles, photographs, videos, audiovisual works, and all other content created directly or indirectly by Teachy (“Teachy Content”).

Teachy Content is protected by intellectual property laws, including copyright and industrial property rights. It is prohibited to use, copy, reproduce, modify, translate, publish, transmit, distribute, perform, upload, display, license, sell, exploit, scrape, and/or reverse engineer any Teachy Content for any purpose without prior and express consent from Teachy. Unauthorized use of Teachy Content constitutes a violation of Teachy’s intellectual property rights and will subject the User to liability for damages, in accordance with applicable law.

Teachy reserves the right, at its sole discretion and at any time, to alter or remove any part of the Teachy Content from the Platform, including features, without prior notice to the User and without any obligation to provide compensation. However, such changes shall not affect the User's acquired rights.

Nothing in these Terms of Use shall be construed as a restriction or waiver of Teachy’s rights over the Platform, nor as a transfer of any intellectual property rights to Users.

Improvements. Any and all developments, enhancements, updates, or new versions made by Teachy to the Platform, its features, and/or Teachy Content—even if based on suggestions or requests from Users—shall be considered the exclusive property of Teachy. Teachy is free to use such improvements without restriction, including the right to adapt, enhance, transform, reproduce, distribute, commercialize, register, assign, and license them in any way and at its sole discretion.

User Content and Usage License. The User acknowledges and agrees that any content, materials, information, texts, images, videos, audio, exercises, lesson plans, comments, or any other data submitted, uploaded, sent, shared, or generated through the Platform (“User Content”) may be used, stored, indexed, processed, reproduced, and made available by Teachy, in whole or in part, free of charge, for the purposes of Platform operation, service improvement, institutional communication, statistical, educational, commercial, or promotional use—including through indexing—in compliance with applicable law.

To that end, the User grants Teachy a worldwide, unrestricted, royalty-free, non-exclusive, irrevocable license valid for an indefinite term (or the maximum period permitted by law) to use, reproduce, modify, adapt, translate, distribute, display, publish, transmit, perform, create derivative works from, and otherwise exploit User Content by any means, format, or media, currently known or to be developed in the future, without territorial, temporal, or usage limitations. This license includes but is not limited to the use of User Content for:
(i) improving Teachy’s services, including adjustments, updates, and continuous enhancements to optimize the User experience;
(ii) developing new products, services, or features—directly or indirectly—based on the content provided by the User;
(iii) creating, developing, and training algorithms, including machine learning and artificial intelligence technologies aimed at generating new content, offers, products, and services or improving existing solutions.

The User expressly authorizes that content made available on the Platform may be used in any media or format, present or future, without any territorial, time, or usage limitations.

The User may submit educational materials or other types of content through the Platform, and declares that they are the sole author and/or possess all necessary rights and permissions to make such content available. Accordingly, the User guarantees that no third-party rights will be violated by submitting any content to the Platform.

If User Content contains sensitive personal data as defined by Brazil’s General Data Protection Law (Law No. 13.709/2018 – LGPD), the User agrees to remove or anonymize such information before uploading it to the Platform. In case of improper submission, Teachy commits to removing or anonymizing the sensitive data upon express request by the User, through the Platform’s official channels, within the legally applicable period.

The User acknowledges that once User Content is made publicly available within the Platform or indexed by search engines, Teachy has no control over its potential copying or republication by third parties. Nonetheless, Teachy agrees to take reasonable steps to restrict or remove such content if legally required.

Teachy reserves the right to moderate, delete, edit, or suspend any User Content that violates these Terms of Use, applicable laws, or the rights of third parties, at its sole discretion, and without prior notice.

In the event of a violation of the prohibitions stated in these Terms or in applicable laws, including but not limited to intellectual property laws, the violating party may be held civilly and criminally liable for the infractions committed.


10. PRIVACY NOTICE

All information regarding the collection, use, processing, and disclosure of Users’ personal data handled by Teachy is made available through a Privacy Notice, in compliance with the Brazilian General Data Protection Law (Law No. 13.709/2018 – LGPD).

The Privacy Notice is an integral part of these Terms and Conditions of Use. Therefore, we ask that you carefully read the Platform’s Privacy Notice before proceeding with your registration.


11. GENERAL PROVISIONS

Teachy informs that it may, at any time and at its sole discretion, unilaterally modify or update these Terms and Conditions of Use.

If this occurs, the User will be notified, and the updated version will take effect upon its publication. Continued access to or use of the Platform after such publication will constitute acceptance of the new Terms and Conditions of Use by the User.

Any clause or condition of these Terms and Conditions of Use that is deemed null or unenforceable by court, law, or tribunal shall not affect the validity of the remaining clauses and conditions.

Teachy may, at its sole discretion, make changes to the Platform, including but not limited to its configuration, design, layout, content, features, and tools, and may also deactivate the Platform entirely.

These Terms shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil. The parties elect the courts of the District of Rio de Janeiro/RJ as the exclusive jurisdiction to settle any disputes arising from these Terms and Conditions of Use, waiving any other court, no matter how privileged it may be or appear to be.
