Welcome! Teachy is an edtech focused on schools and teachers through a learning management system platform.

These Terms and Conditions of Use ( Terms ) are intended to define the conditions for the use of the Platform developed and owned by Teachy, available through the https://www.teachy.ai/ website, which allow you (“you” or “ User ”) to prepare, manage and develop school assessments and materials using artificial intelligence focused on the education market.

BY USING THE PLATFORM, YOU AUTOMATICALLY AGREE TO ALL THE RULES OF THESE TERMS AND CONDITIONS OF USE AND OTHER CONDITIONS MENTIONED HEREIN, AND ARE FULLY RESPONSIBLE FOR ANY AND ALL ACTS PERFORMED BY YOU ON THE PLATFORM, AS WELL AS FOR THE CONSEQUENCES RELATED TO YOUR USE. IF YOU DO NOT AGREE TO ANY OF THE TERMS AND CONDITIONS SET OUT BELOW, YOU MUST NOT USE THE PLATFORM.

DEFINITIONS ADOPTED IN THESE TERMS
1. For the purposes of these Terms of Use, it must be considered:

Login : This is the process to access the Platform through user authentication or identification using previously registered credentials, which are personal and non-transferable.

Platform or Teachy : Teachy web and mobile digital space where the User can make use of the features offered and available services.

User(s) : Individual who hires and/or uses the Platform and the services of Teachy, in any of its functionalities or modalities, in the context of its pedagogical and curricular activities may be a Teacher or Student.

Teacher : User registered with Teachy who has permission to create, edit, organize and share pedagogical content, such as exercises, lists and lesson plans with students .
Student : User registered with Teachy , or User registered by the Teacher with access to Teachy , who may use the Platform for academic development or view, perform or interact with exercises and materials provided by the Teacher, aiming at school learning.
Child User : User under thirteen (13) years of age.

TEACHING MANAGEMENT WITH TEACHY
1. Features . Depending on the type of User Profile, the Platform allows you to (i) develop school assessments, with the elaboration of questions synchronized to the User's pedagogical planning ; (ii) prepare classes, duties and correction of tests, (iii) evaluate academic performance and perform an accurate educational follow-up; (iv) Receive digital didactic content and specific activities (“ Services ”).
2. The Platform is specially developed to manage school activities, making teaching and study more effective. Among its functionalities, the Platform allows the following activities, depending on the profile of the User:

Teachers :

Individual access to the Teachy platform, using artificial intelligence tools for pedagogical support;
Automated creation of:
- Daily and weekly lesson plans;
- Annual, sequential and competency planning;
- Activities, tests, corrections and personalized feedbacks;
- Exercise lists based on own questions or questions from the Teachy database, with a deadline to be answered by students;
Sharing of materials and questions created by the Teacher with students through the database if the Teacher grants this authorization;
Comments on the questions made available;
Access bank questions within the Platform;
Creation and management of student classes;
Access to the data for students who have correct or missed each question made available in the list of exercises;
Registration and control of student presence;
Automatic correction of the exercises and activities of the students;
Availability of class notes;
Tools designed to support alignment with various internationally recognized educational curricula, depending on the selected geographic context, discipline, and level of education.;
Direct channel of relationship with the Teachy team for questions, suggestions and sending feedback on the Platform, including technical support and improvement suggestions.
Complete user management panel, allowing you to view, create, edit, and delete student accounts as needed;
Usage and engagement reports, with detailed view by User ;
Real-time monitoring of the pedagogical use of the Platform .

Students :

Access to content, activities and corrections generated by Teacher throughout Platform ;
Guided study tools, which organize content, exercises and reviews in a personalized way, based on individual performance;
Specific resources for preparation for admission exams, public competitions, knowledge olympics and other academic competitions, focusing on performance and self-development;
AI safe and appropriate for educational use, with protection mechanisms, without risk exposure and with controlled environment;
Study and interactions on the fully monitored Platform;
Teachy team relationship channel, including technical support and improvement suggestions. 3. The Platform is not linked to any teaching institution of teachers, as well as is not an institution of education, school, school reinforcement or student establishment. 4. In order to access the Platform, in addition to acceptance of these Terms of Use, the User must understand the terms of the Teachy Privacy Notice . IT IS THE USER'S DUTY TO BE AWARE OF THE RULES OF THESE TERMS OF USE AND THE PRIVACY NOTICE OF THE PLATFORM.
1. The Platform works by internet connection.
2. Access to the functionality of the Platform is determined by Teachy and these functionalities will be made available to users according to their functions and assignments. This means that each User will have access only to features and resources that are relevant to their needs according to their relationship with Teachy.

HOW TO REGISTER FOR TEACHY?
1. To register, you need some information about you. The types of data we collect depends on how you relate to us.
2. For access and use of the Platform, it is possible to register through social login of Google , Facebook or via email, by clicking on “Log” in https://www.teachy.ai/ on the website. The Platform allows the creation of the following profile types:

A) Teacher: If you are a Teacher User, you will share your registration information with us, such as full name, email, phone, photo, country, discipline and series that teaches. From this information, we will create a single login, through which you will have access to the Platform.

C) Student: If you are a Student User, you will share your registration information with us, such as full name, email, telephone, photo, country and age confirmation. From this information, we will create a single login through which you will have access to the Platform.

The registered data provided will serve as a basis for the generation of an identification account, from which the User will have access to the Platform and its functionalities. 4. The User must determine the login and password for thePlatform . 5. From the registration, the User will have a personal and non-transferable account, through the login and password created. If Teachy detects any account made from false information, your registration on the Platform will be automatically canceled, as well as your access to the Platform will be blocked. In this event, the User shall not have any right to compensation.
1. If the User forgets his password and needs to recover it, he can request the creation of a new password through the Platform, through the “Forgot my password” button that will send a reset of the password to the registered email. If the request is made through the Platform, the User must indicate his registered email so that an e-mail is sent to the User to register the new password.
2. The data offered in the registration will enable Teachy to contact theUser . Teachy will not be liable for any fact arising from your inability to receive notifications sent by Teachy to an address not updated by theUser.
3. The Teachy Platform is aimed at the public at school and admits the registration of people aged 13 years or over. For users between thirteen (13) and eighteen (18) years incomplete, the use of the Platform is conditioned to the prior and express authorization of at least one of the parents or legal guardians, who will be responsible for the acts practiced by minors through the Platform. By using the Platform, you represent and warrant that you are 13 years of age or older and that you have been duly assisted by one of your legal guardians at the time of contracting the Platform. Your account may be blocked and/or canceled without notice if you incur false statements. Teachy will implement proportionate measures for age confirmation and will provide appropriate parental control mechanisms to safeguard the rights and interests of these users. Child Users will be treated in a special way and may use the Platform with additional privacy mechanisms as described in clause 3.10.
4. If a student’s account is created at the initiative of the Platform’s Contracting Teacher, the Platform declares and warrants that it has obtained the express and specific authorization of at least one of the parents or legal guardians by the student for the creation of the account and use of the Platform. The Professor assumes full responsibility for such authorization, exempting Teachy from any liability arising from the absence, invalidity or inadequacy of such authorization. When creating accounts for children's users, the Teacher must follow the applicable privacy rules as described in clause 3.10.
5. Children'susers , i.e. users under thirteen (13) years of age, will receive additional privacy protections. Child users may create a Teachy account , provided they provide the email address of a parent or legal guardian instead of their own and register using a username that is not linked to their real name. After registering a child user, Teachy will send an e-mail to the informed address, with the privacy practices applicable to children's users, including what personal data is collected, how it is used, shared and protected, as well as instructions on how parents or legal guardians may request access, alteration or deletion of this data. Children's user accounts will be subject to additional protection and privacy measures, such as: Greater parental control, restriction of social resources, deactivation of personalized ads, use of generic avatars and reduced collection of personal data with the prohibition of sending personal data that allow direct identification.
6. By using the Services, the User undertakes to comply with applicable law and these Terms of Use .
7. For membership and use of Teachy, the User must undertake to provide true, accurate, current and complete information as requested in the registration form.
8. It is forbidden to intentionally assume someone else's personality.
9. Teachy reserves the right to refuse registration, or cancel accounts it deems inappropriate, as well as refuse to provide any services that do not meet its standards.
10. The registered data provided will serve as a basis for the generation of an identification account, from which the User will have access to the Platform and will have at his disposal the Services.
11. When consistent with your marketing choices, Teachy may use your registration data to contact you in the future for marketing and advertising purposes, including without limitation, to inform you about services, offers or promotions that may be of interest to you. The User may object to the processing of their data for marketing and advertising at any time by opting out of receiving the newsletter or marketing emails by following the unsubscribe instructions included in these messages, accessing email preferences on the Platform or by contacting Teachy .
TEACHY PLANS
1. The amount to be paid by the User will be defined according to the type of User and the contracted plan.
2. The description of the services, prices, features, commercial and operational conditions of each plan will be provided in detail on the Teachy website : https://www.teachy.ai. At the time of contracting, the User must choose one of the available modalities, with due knowledge of the value, deadlines, functionalities included and other specific conditions applicable to the contracting.
3. Payment methods may vary by geographic location. Credit card payments are generally available, and additional local or region-specific payment options may be offered at Teachy’s discretion..
4. The User has the right to cancel the purchase and receive the full refund of the amount paid within seven (7) calendar days from the date of signature of the respective Plan, as provided for in the Consumer Protection Code. In order to exercise the right of withdrawal, the User must send a formal request by e-mail to contato@teachy.com.br within the established time limit. After the period of seven (7) days, the User will be automatically bound to the Plan for the total time of the contracted period, which implies the commitment of payment of all the corresponding installments or amounts. During this period, the User will have full access to the Platform and may enjoy the services and benefits offered in the Premium Teacher Plan, Premium Student Plan or Premium SchoolPlan, as follows:

Premium Teacher Plan and Premium Student Plan: Access to all Platform features with unlimited credits. The hiring can be done directly through the Teachy website , depending on the profile of the Teacher or Student User .
Premium School Plan: a modality aimed at school pedagogical and administrative management, which includes: (I) unrestricted access to the Teacher Platform; (ii) strategic dashboards for performance monitoring and engagement; (iii) access management resources; (iv) centralized class organization; and (v) integrated collaboration features. The hiring can be done directly through the website of Teachy . 5. Although some Platform plans are described as “unlimited”, the use of the features offered by Teachy is subject to reasonable use criteria and must always respect the current parameters. Teachy reserves the right to temporarily suspend, limit or readjust access to the tools if abuse or uses are identified incompatible with such parameters, especially to the detriment of the stability, security or performance of the Platform. 6. Teachy may, at its sole discretion and upon prior notice, change, include or discontinue features and tools provided in the contracted plans, provided that such modification does not imply a substantial reduction in the resources originally contracted, except for just cause or for reasons of force majeure. Such changes aim to ensure the continuous improvement of the services provided, the adequacy to legal or regulatory requirements and the technological evolution of the Platform.
1. The prices of the plans may be adjusted periodically each period of twelve (12) months, with prior notice of at least thirty (30) days, respecting the values and conditions in force.
2. Teachy reserves the right to offer plans with special conditions, trial periods or temporary discounts, which may be changed or suspended at any time without notice. After the end of these differentiated conditions, the regular values will be applied at the time of renewal, according to the contracted plan.
3. Teachy may also cancel the subscription to the plan in case of default, breach of these Terms or misuse of the Platform, upon notice to the User, without prejudice to the collection of amounts due up to the date of termination.

OBLIGATIONS AND RESPONSIBILITIES OF TEACHY
1. Teachy’s obligations are limited to ensuring the functionality and security of the Platform, as well as maintaining access to the services on the air for as long as possible, except in the event of events outside our control.
2. Teachy is not responsible for the conduct of any User, whether inside or outside the Platform, since it is only an application to integrate and manage school activities.
3. Teachy will not be responsible in any way for the school performance and results arising from the activities of the users. The User declares and agrees that Teachy does not guarantee any economic performance, economy or commercial result in relation to the use of the functionalities offered by the Platform by the User, exempting itself from all liability in the event of damages of any nature caused in this sense to the User or to third parties.
4. Teachy will also not be responsible for:

By the comments entered by users on the Platform;
By (hyper)links or banners of third parties inserted in the Platform;
Personal data inadequately entered or made available on the Platform;
By service interruption, bugs, viruses, error, omission, loss or damage;
For any product or service offered on the portals, websites or applications that are not related to the activities of Teachy;
For any materials shared on the Platform by Users who infringe any rights of third parties, including intellectual property rights. 5. Third party services. Teachy may use third-party services to maintain the functioning of the Platform (e.g. hosting service), and may therefore possibly occur failures in such services. Teachy will not be liable for any loss, damage (direct or indirect) and loss of profits arising from the eventual failure of the services of these third parties, but, to the extent possible, will keep the User informed of the deadlines and measures taken to remedy such failure. 6. Third party websites. The Platform may contain links that direct you to third-party websites and other third-party applications that are not owned and controlled by Teachy. Teachy in no way endorses, verifies, guarantees or has any connection with the owners of these websites or applications, and is not responsible for their content, including the products and/or services available there, for the accuracy, veracity and completeness of the information, policies, policies, policies, and other information. practices or opinions expressed on any of these third-party websites and applications with which you interact through the Platform.
1. Disclaimer . Teachy, its affiliates, partners, employees or employees shall not under any circumstances be liable for damages, direct or indirect, resulting from, or that are related to the User's access or use of the Platform or his/her inability to access or use the Platform.
2. PLATFORM UNAVAILABILITY . IN VIEW OF THE INHERENT CHARACTERISTICS OF THE INTERNET ENVIRONMENT, TEACHY IS NOT RESPONSIBLE FOR ANY FAILURE TO ACCESS OR NAVIGATE THE PLATFORM ARISING FROM CIRCUMSTANCES BEYOND ITS CONTROL AND CONTROL, SUCH AS INTERRUPTIONS OR CONNECTION SUSPENSIONS, INCOMPLETE OR FAILURE OF COMPUTER TRANSMISSIONS, AS WELL AS DUE TO TECHNICAL FAILURE OF ANY NATURE, INCLUDING WITHOUT LIMITAÇÃO, THE ELECTRONIC MALFUNCTION OF ANY USER OR THIRD PARTY NETWORK, HARDWARE OR SOFTWARE, INTERNET FAILURES IN GENERAL, POWER OUTAGES, ELECTRONIC AND/OR PHYSICAL MALFUNCTION OF ANY TELECOMMUNICATIONS NETWORK. TEACHY DISCLAIMS ANY LIABILITY ARISING FROM SUCH FACTS AND/OR ACTS.

OBLIGATIONS AND RESPONSIBILITIES OF THE USER
1. The User undertakes not to disclose to third parties their login and password of access, nor to allow the use of such information by third parties, since all activities carried out with their login and password will be their responsibility.
2. Access to and use of the features provided by Teachy are the sole responsibility of the User.
3. The User is solely responsible for the data and information entered into his account, therefore, it is not Teachy's obligation to verify or attest the veracity of the data provided.
4. The User undertakes to use Teachy always honestly and ethically, as well as to refrain from any abusive, illegal or offensive conduct.
5. The Teacher, due to access the Platform, may have access to student registration data, including User Photo, Name and Notes for recognition and pedagogical evaluation. Teachy is not responsible for the use of this data for different purposes and/or in disagreement with the General Law on the Protection of Personal Data and, if there is a complaint of violation of these Terms by the Teacher, after verification, the Teacher may be penalized with the blocking or cancellation of the Platform account, without prejudice to other applicable criminal, civil and administrative liability.
6. You are solely responsible for the use of the Platform and must comply with the rules of these Terms of Use as well as applicable law. TEACHY SHALL NOT BE LIABLE FOR ANY DAMAGE, DIRECT OR INDIRECT, CAUSED AS A RESULT OF THE VIOLATION OF THE PROVISIONS OF THIS CLAUSE BY THE USER OR HIS MISUSE OR HIS INABILITY TO USE THE PLATFORM, INCLUDING DAMAGES ARISING FROM THE ACCESS BY ANY THIRD PARTY OF THE USER'S ACCOUNT WITH YOUR LOGIN AND PASSWORD.
7. It is the User's sole responsibility:

keep the environment of your device (computer, mobile phone, tablet, among others) safe, with the use of available tools such as antivirus, firewall, among others, in order to contribute to the prevention of electronic risks;
Updated and efficient operating systems for full use of the Platform; and
Protect and keep confidential your login and password to access the Platform, being aware that your account is personal and non-transferable, and should not be shared with third parties under any circumstances. 8. YOU ARE RESPONSIBLE FOR ANY AND ALL VIOLATION OF THESE TERMS OF USE AND APPLICABLE LAW, WHETHER BY ACTION OR OMISSION. IN THE EVENT OF A INFRAÇÃO COMMITTED BY THE USER, DUE TO THE BREACH OF THESE TERMS OF USE, VIOLATION OF ANY APPLICABLE LAW OR RIGHTS OF TEACHY AND/OR THIRD PARTIES, THE USER WILL BE LIABLE, BEFORE TEACHY AND THIRD PARTIES, FOR ALL LOSSES, DAMAGES AND DAMAGES, DIRECT AND/OR INDIRECT, TO WHICH IT CAUSES, SUBJECT TO CIVIL AND CRIMINAL PENALTIES PROVIDED FOR IN THE APPLICABLE LEGISLATION. THE USER UNDERTAKES TO INDEMNIFY TEACHY FOR THE DATA CAUSED, INCLUDING IN CASES OF DEMANDS PROMOTED BY OTHER USERS AND/OR THIRD PARTIES.

PROHIBITED CONDUCT
1. The User undertakes to use the Platform in an ethical, responsible manner and in accordance with applicable law, refraining from performing any conduct that may violate these Terms of Use, the law or rights of Teachy and third parties. Among others, it is considered forbidden the practice of the following conducts:

To perform any kind of unlawful, immoral act that may violate the Brazilian or international legislation in force;
Violate third-party rights or rights of Teachy, including, but not limited to, personality, intellectual property, privacy and honor rights;
Make available, transmit or allow access to illegal, violent, pornographic, discriminatory, offensive or in any way incompatible with the educational values of the Platform or any other act contrary to law and public order;
Perform any kind of attempted fraud or manipulation, or social engineering that is intended to gain undue advantage over Teachy, other users or third parties;
Copy, reproduce or replicate, in whole or in part, any aspect or functionality of the Platform that the User has access to, in order to create programs or services that have similar features or functionality, and the User acknowledges that the Platform and all its aspects, image set, flows and functions are the exclusive intellectual property of Teachy, in accordance with clause 9 below;
Induce or engage in any act of discrimination or incite hatred against persons and/or groups of persons on grounds of nationality, race, religion, sexual orientation, gender, physical condition, nationality, among other acts contrary to public order and the brazilian legislation in force;
Use automated bots, spiders, or any other unauthorized means to collect information or interact with the platform environment or with any electronic means, such as websites owned by Teachy;
Use Teachy for competing, fraudulent or any purpose other than the provisions of these Terms of Use;
Use, make available, share or employ on the Platform in any way, materials or content of which the User is not owner or does not have the express written permission of the copyright holder, including copyrighted materials or other intellectual property rights;
Access, reproduce, distribute, share, modify, adapt, translate, reverse engineer, decompile or exploit economically, in whole or in part, thePlatform, its contents, features, information and data, for any reason, including to develop or employ in any other computer program, service or derivative work, except with the express permission of Teachy;
Disseminate viruses, malware or any other malicious code, file or software with the aim of compromising the security, integrity, functioning or availability of thePlatform , Teachy Data , its users or third parties;
Improperly access data, functionalities or restricted areas of the Platform, as well as perform acts that compromise its security, stability or performance;
Resell, market or make available to third parties, in an onerous or free way, the services, products or benefits offered on the Platform, except with the express permission of Teachy;
Violate the privacy of other users, including, but not limited to, the collection, disclosure or misuse of personal data;
To perform any other acts contrary to the provisions of these Terms ofUse , applicable law or that compromise the educational purpose and integrity of the Platform. 2. The User undertakes to use the Platform always honestly, ethically and in accordance with the law, the Terms of Use and the Privacy Notice . 3. Teachy may, in its sole discretion, delete and/or suspend access to the User in case of suspected breach of applicable law or these Terms ofUse .

BLOCKING, CANCELING AND CLOSING OF ACCESS TO THE PLATFORM
1. Lock. Teachy may block your access to the Platform (i) as provided for in clause 3.8 of these Terms of Use; and (ii) in the case of prohibited conduct described in clause 7, including, without limitation, any act of violating or attempting to violate Teachy's intellectual property rights. Teachy is not responsible or liable to indemnify the User for blocking access to thePlatform.
2. Cancellation. Teachy reserves the right to cancel, at any time, the registration of any User if it identifies bad faith and/or the occurrence of deviation of purpose in the use of the Platform, fraud, obtaining benefit or advantage in an unlawful manner or failure to comply with any of the conditions set forth in these Terms of Use or applicable law. In such cases, no compensation shall be due to the User or to third parties for the damage caused.
3. Teachy may stop the provision of the Services in the event of any of the following situations:

Death or insolvency of the User;
A fortuitous or force majeure event, regularly proven, impeding the execution of the Services;
Absence of payment in the form agreed for a period of more than sixty (60) days, and the User will still be obliged to pay for the Services used until the end of the Term of the Contract Plan;
Failure to comply with some of the obligations set out in these Terms of Use.

INTELLECTUAL PROPERTY
1. The title and rights related to the Platform belong exclusively to TEACHY EDUCATION US INC.
2. The User does not acquire, by reason of access to and regular use of the Platform, or through these Terms or other document prepared and/or disclosed by Teachy, any intellectual property right or other exclusive rights, including patents, designs, trademarks, Copyright or rights in confidential information or business secrets, about or related to the Platform, which are the sole property of Teachy .
3. As well as the tools and features provided on thePlatform , the original questions and tests of the Teachy database are the sole property of the company.
4. Therefore, it is not permitted to make any use of Content without the prior and express permission of Teachy ,whether reproduction, copying or other means, of any of the elements protected by Teachy's intellectual property.
5. License of Use. Subject to these Terms of Use, Teachy grants the User a personal, limited, temporary, non-exclusive, non-transferable license to use the Platform only to enjoy its functionality set out in these Terms of Use . The blocking of the User's access to the Platform, for any reason, implies the suspension or cancellation of the license granted herein.
6. Absence of exclusivity. The use of the Platform does not imply in any form of exclusivity between Teachy and the Users. Nothing in these Terms of Use or in the use of the Platform establishes an exclusive relationship between Teachy and Users.
7. Content Teachy . All intellectual property rights relating to the Platform, as well as all its features, are the exclusive property of and/or are licensed to **Teachy ,**including with regard to its texts, images, trademarks, layouts, software, codes, databases, graphics, articles, photographs, videos, audiovisual works and other content produced directly or indirectly by Teachy (“Teachy Content”).
  1. Teachy Content is protected by intellectual property rights legislation, including copyright, industrial property rights, and other rights. It is forbidden to use, copy, reproduce, modify, translate, publish, transmit, distribute, execute, upload, display, license, sell, exploit, scrapping and/or reverse engineer the Teachy Content for any purpose, without the prior and express consent of Teachy. Any unauthorized use of the Teachy Content will be deemed to be a violation of Teachy's intellectual property rights and will result in the User's duty to indemnify Teachy for misuse, in accordance with applicable law.
  2. Teachy reserves the right, in its sole discretion and at any time, to change or remove from the Platform, in whole or in part, the Teachy Content, including functionalities, without any prior communication to the User and without any compensation due to it, but in no case will it be necessary to make any changes to the Teachy Content. the rights of the User will be affected.
8. No provision of these Terms of Use shall be construed as restricting or waiving any rights of Teachy on the Platform, nor assignment to users of Teachy's intellectual property rights.
9. Improvements . The User acknowledges that, once the User Content is made available in public environments of the Platform or indexed by search engines, Teachy has no control over its eventual copying or republication by third parties. Nevertheless, it undertakes to take reasonable steps to restrict or remove such content, if legally required.
14. Teachy reserves the right to moderate, delete, edit or suspend User Content that violates these Terms ofUse , current legislation or the rights of third parties, at its sole discretion, without prior notice
